Reseller Agreement
section 1 — payments
all wholesale orders must be prepaid. accepted payment methods include:
• t/t bank transfer
• credit card
• paypal
orders are processed once the full payment (including shipping and handling) has been received.
most orders ship within 1–2 business days. if your order cannot be shipped within that timeframe, you will be notified and may choose to:
• keep the item on backorder
• partially cancel
• fully cancel
section 2 — returns, exchanges, and defects
any claim for defective merchandise must be reported to lumzra within two business days of delivery.
all returns or exchanges require prior approval from lumzra.
once approved, defective items must be returned before a refund or replacement is issued.
lumzra does not buy back unsold inventory from the reseller under any circumstances.
section 3 — damage claims
lumzra packs all shipments using approved protective materials.
lumzra is not responsible for damage or loss in transit unless shipping insurance was pre-purchased by the reseller.
if you wish to insure a shipment, notify lumzra at the time of ordering so the cost can be added to your shipping fees.
if a shipment is damaged:
• you must contact the carrier and lumzra within 48 hours
• keep all original packaging materials
• do not cancel or dispute payment
the carrier will conduct a damage investigation, and lumzra will assist until the claim is resolved.
section 4 — copyright
all products, images, designs, and materials provided by lumzra (including website content) are protected by copyright and intellectual property laws.
you may not copy, reproduce, modify, distribute, or use lumzra content without written permission.
as an approved reseller, you may use official product photos taken from lumzra.com solely for promoting and selling lumzra products.
if this agreement is terminated, you must remove all lumzra product photos and materials from your website, social media, and printed media.
section 5 — intellectual property
all intellectual property associated with lumzra products and branding—including images, packaging, product designs, trademarks, trade-dress, copyrights, and patents—remains the sole property of lumzra.
you may not copy, modify, reverse engineer, or create derivative works from any lumzra intellectual property without written consent.
section 6 — deposit and minimum orders
to activate your wholesale status, a minimum opening order of $500 (wholesale value) is required.
if your first order is less than $500, a deposit may be made to reach the minimum.
this deposit acts as a credit for future orders.
after the initial $500 minimum is met, no further minimum order requirements apply.
section 7 — online sales
reselling lumzra products online is allowed only on:
• your own website
• approved third-party marketplaces
• approved social commerce storefronts
all domains and storefronts where lumzra products will be sold must be disclosed to lumzra for approval.
unauthorized storefronts may result in termination of reseller status.
section 8 — drop shipping
drop shipping services are available for authorized resellers.
shipping costs vary based on package size, destination, and value.
contact lumzra support to receive an accurate shipping quote before placing bulk or frequent drop ship orders.
section 9 — shipping
orders typically ship from our asian fulfillment hub.
express courier options (such as dhl express) are available for most orders.
if you require next-day or expedited service, contact lumzra prior to ordering to confirm availability and rates.
section 10 — freight & bulk shipments
large wholesale orders may qualify for ltl (less than truckload) or palletized freight shipping.
rates depend on order size, weight, and destination.
contact lumzra for a freight quote if needed.
section 11 — reseller responsibilities
the reseller agrees to:
• represent lumzra products accurately
• maintain professional sales standards
• avoid false claims or misleading marketing
• provide end-customer support for sales made through their channels
• comply with local laws and industry standards
unauthorized discounting, misleading claims, or counterfeit listings may result in immediate termination.
section 12 — termination
lumzra may terminate this agreement at any time if the reseller:
• violates any part of this agreement
• misuses lumzra branding or intellectual property
• becomes inactive for extended periods
• damages the brand reputation through inaccurate representation
upon termination, reseller access, wholesale pricing, and usage rights to lumzra assets are revoked.
section 13 — governing law
this agreement is governed by the laws of the netherlands unless otherwise agreed in writing.
